Article I Name, Object and Activities of the Society Section 1: The name of the Society is the American Arab Scientific Society (AMASS). It is a non-profit organization registered in the state of Delaware. Section 2: The main purposes of the Society are: a. To promote the application of modern knowledge for the advancement of the Arab people and communities by participatiing exclusively in educational, scientific and literary activities. b. To reinforce the relations and close cooperation among researchers interested in the appropriate applications of technology in the Arab World, irrespective of their political or religious affiliations. Section 3: The major areas of operation of the Society are: a. Organization of scientific conferences, symposia and meetings. b. Publication of scientific books, periodicals and pamphlets in Arabic, and promotion of a standardized scientific terminology in Arabic. c. Awards of grants-in-aid and scholarships for researchers to further the successful integration of appropriate technologies in the Arab World. d. Cooperation with all national and international societies in the areas falling within the scope of the Society as defined in this Constitution. e. Support of researchers' rights to acquire information freely, investigate and publish. Section 4: Neither the Society nor any of its chapters shall carry any political activity on behalf of any individual, organization or party. .............................................................................. Article II Membership The voting (active) membership constitutes the main corps of the Society and will be denoted as the ``Membership''. There shall be additional non-voting membership classes as defined in the By-laws. .............................................................................. Article III Organization of the Society Section 1: The Membership is organized into chapters according to geographic proximity, ease of communication or other criteria. Procedures for the establishment of these chapters are identified in the By-laws. Section 2: The general assembly, constituted by the registered Membership, governs the affairs of the Society either directly or through its representatives to the Board of Trustees. Section 3: The general assembly elects the Board of Trustees to manage the activities of the Society, to protect its interests, to guarantee the respect of its Constitution, and to defend its assets, subject to the direction of, and in accordance with, the policies established by the general assembly. Section 4: The Board of Trustees supervises the operation of the standing committees and may appoint ad-hoc committees to run the affairs of the Society, as indicated by the By-laws. The Board of Trustees may appoint the administrative personnel needed to serve, under its supervision, the objectives of the Society. Section 5: The standing committees are - Membership committee, - Finance committee, - Conferences and publications committee, - Fund-raising committee, - Education committee, - Public relations committee, and - Nomination and election committee. Procedures for the establishment and responsibilities of these various committees are defined in the By-laws. .............................................................................. Article IV Amendments of the Constitution and the By-Laws The Constitution and the By-laws may be amended by a two-thirds majority vote of the Membership, according to the procedures identified in the By-laws. .............................................................................. Article V Dissolution of the Society Section 1: Dissolution of the Society shall be decided by a two-thirds majority of the Membership, according to the procedures indicated in the By-laws, and immediately operational. Section 2: Upon the termination, dissolution or winding of the Society in any manner, assets remaining after paying or adequately providing for outstanding debts and obligations, shall be donated by the last Board of Trustees to any recognized charitable, educational, scientific or literary non-profit corporation. ==============================================================================
